1. Agreement to These Terms
These Terms of Service (“Terms”) form a binding agreement between you and Onescratch Inc. (“Scratch,” “we,” “us,” or “our”) and govern your access to and use of the website at onescratch.com and all related content, comparison tools, features, and services (together, the “Platform”).
By accessing or using the Platform, creating an account, or clicking to accept, you agree to these Terms and to our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, do not use the Platform.
If you use the Platform on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.
2. Who May Use the Platform
- You must be at least 18 years old and able to form a binding contract.
- The Platform is intended for healthcare professionals, procurement and supply-chain personnel, medical-device manufacturers, and others with a professional interest in medical devices. At launch, coverage focuses on gastroenterology (GI) devices. The Platform is not directed to patients or consumers seeking medical guidance, and is not directed to children.
- Certain features may require credential or identity verification (for example, a National Provider Identifier (NPI) for clinician reviewers). You agree that any verification or registration information you provide is accurate, that you will keep it current, and that you will not impersonate any person or misrepresent your credentials, affiliations, or experience.
3. What the Platform Is — and Is Not (Educational Use & Medical Disclaimer)
The Platform provides educational and informational content about medical devices — including product descriptions, specifications, regulatory data, documents (such as Instructions for Use), media, indications, and side-by-side comparison tools.
- The Platform does not practice medicine and does not provide medical, clinical, diagnostic, or treatment advice. Nothing on the Platform substitutes for the independent professional judgment of a qualified healthcare provider, the device manufacturer’s current labeling and Instructions for Use, or applicable institutional protocols.
- We do not recommend, endorse, prescribe, or guarantee any device. Comparisons, rankings, scores, badges, and similar features are informational aids; they are not clinical recommendations and do not establish that any device is safe, effective, or appropriate for any particular patient, procedure, or use.
- Device selection and use are decisions for licensed professionals based on the full body of available information, including the manufacturer’s labeling, the patient’s circumstances, and applicable law. Always consult the device’s current FDA-cleared or FDA-approved labeling and Instructions for Use before any clinical use.
- The Platform is not intended for patient self-diagnosis or self-treatment. If you are a patient, seek advice from a licensed clinician.
4. Accuracy of Content; Sources
- Content is compiled from sources that may include public U.S. Food and Drug Administration (FDA) databases and registrations, manufacturer websites and materials, Instructions for Use, and editorial content prepared by or for Scratch. Regulatory data may be drawn from FDA datasets and refreshed periodically.
- FDA data reflects information as published by the FDA and may be incomplete, delayed, superseded, or contain errors. A device’s appearance on the Platform does not imply FDA endorsement, and we do not independently verify manufacturer claims or clinical performance.
- We strive for accuracy but do not warrant that any content is complete, current, accurate, or error-free. Regulatory status — including clearances, approvals, recalls, and safety communications — can change, and you are responsible for confirming current status with official sources.
5. Accounts and Security
- Some features require an account. We use passwordless (“magic-link”) authentication. You are responsible for maintaining control of the email account associated with your access and for all activity under your account.
- Notify us promptly at help@onescratch.com of any unauthorized use of your account. We are not liable for losses arising from unauthorized account use that results from your failure to safeguard your access.
6. Acceptable Use
You agree not to:
- use the Platform for any unlawful, harmful, deceptive, or fraudulent purpose;
- submit false, misleading, or deceptive credential, affiliation, experience, or review information;
- scrape, crawl, harvest, or use automated means to extract data except as expressly permitted, or exceed posted rate limits;
- copy, reproduce, republish, frame, or redistribute Platform content except as permitted in Section 9;
- reverse engineer, interfere with, disrupt, or attempt to gain unauthorized access to the Platform or its systems;
- upload malware or transmit unlawful, defamatory, infringing, or otherwise harmful material;
- use the Platform to build a competing product or service, or for competitive data extraction; or
- represent Platform content as clinical advice or as our endorsement of any device.
7. User Content and Reviews
User Content. “User Content” means anything you submit, including reviews, ratings, comments, saved comparisons, questions, or other materials.
- Honest, good-faith reviews. Where the Platform supports reviews, they may be subject to verification (for example, a verified NPI and/or documented experience with the device). You agree that your reviews reflect your honest, good-faith experience and opinions, are your own, and comply with applicable law, including the U.S. Federal Trade Commission’s rules on endorsements and consumer reviews. Do not post fake, deceptive, or undisclosed-incentivized reviews.
- Disclosure of relationships. If you have a material connection to a manufacturer or product you review or discuss — such as employment, consulting, royalties, research funding, or any other financial relationship — you must disclose it. We may cross-reference public databases (such as the CMS Open Payments database) and may label or remove content accordingly.
- License you grant. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, adapt (for formatting and display), publish, and distribute your User Content on and in connection with the Platform and its promotion. You retain ownership of your User Content.
- Your representations. You represent that you have all rights necessary to submit your User Content, that it does not infringe or violate any third-party right or law, and that it contains no patient-identifying information or protected health information.
- Moderation. We may — but are not obligated to — review, screen, edit, label, or remove User Content at our discretion. We are not responsible for User Content and do not endorse any opinion expressed in it.
8. Advertising, Sponsored Content, and Manufacturer Relationships
- The Platform may include advertising, sponsorships, promoted placements, and content created or funded by manufacturers or other third parties (“Sponsored Content”), and may offer features that let you contact manufacturers (for example, a “Talk to us” or inquiry form).
- We aim to identify Sponsored Content clearly (for example, “Sponsored,” “Ad,” “Promoted,” or “Paid partnership”) consistent with applicable advertising-disclosure rules, including the FTC’s guidance on native advertising and endorsements. Editorial and comparison content is intended to be distinguishable from paid placements.
- Payment for advertising or sponsorship does not entitle a manufacturer to favorable editorial treatment and does not affect organic ranking or comparison results. Editorial assessments and reviews are not for sale. You should not infer any endorsement from the presence of advertising.
- Lead generation. If you submit an inquiry to a manufacturer through the Platform, you authorize us to share the information you provide with that manufacturer so it can respond. The manufacturer’s use of your information is governed by its own privacy practices. See our Privacy Policy.
- Manufacturers and advertisers are solely responsible for their products, claims, and communications. We are not a party to, and disclaim responsibility for, any dealings between you and a manufacturer or advertiser.
9. Intellectual Property
- The Platform and its content — including text, editorial content, comparisons, design, graphics, logos, the “Scratch” name and marks, and software — are owned by us or our licensors and are protected by intellectual-property laws. Manufacturer names, marks, product images, and Instructions for Use remain the property of their respective owners and are used for identification and informational purposes. FDA data is U.S. government information used as permitted.
- We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for your internal, professional, informational purposes. All rights not expressly granted are reserved.
- Any feedback or suggestions you provide may be used by us without restriction or obligation to you.
10. Third-Party Content and Links
The Platform may link to or display third-party websites, materials, and Instructions for Use. We do not control and are not responsible for third-party content, and inclusion does not imply endorsement. Your use of third-party content is at your own risk and subject to the third party’s terms.
11. Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE MEDICAL DISCLAIMER IN SECTION 3, WE DO NOT WARRANT THAT CONTENT IS ACCURATE, COMPLETE, OR CURRENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, OR FOR ANY CLINICAL, PATIENT-CARE, OR PROCUREMENT DECISION MADE IN RELIANCE ON THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNTS YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS ARE AN ESSENTIAL BASIS OF THE AGREEMENT.
13. Indemnification
You will indemnify, defend, and hold harmless Onescratch Inc., its affiliates, and their respective personnel from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Platform, your User Content, your violation of these Terms, or your violation of any law or third-party right.
14. Term and Termination
We may suspend or terminate your access at any time, with or without notice, for any reason, including a violation of these Terms. You may stop using the Platform at any time. Provisions that by their nature should survive termination — including intellectual-property, disclaimer, limitation-of-liability, indemnification, and governing-law provisions — will survive.
15. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
- The state and federal courts located in New Castle County, Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform, and you consent to personal jurisdiction and venue in those courts. Either party may bring qualifying claims in small-claims court.
16. Changes to These Terms
We may update these Terms from time to time. We will indicate changes by updating the “Last Updated” date and, where appropriate, provide additional notice. Your continued use of the Platform after changes take effect means you accept the revised Terms.
17. Miscellaneous
- These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Platform.
- If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary.
- Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
- Neither party is liable for delays or failures caused by events beyond its reasonable control. Nothing in these Terms creates an agency, partnership, or joint-venture relationship. Headings are for convenience only.
